Terms of Service

1. Agreement

By accessing or using Nova Intelligence (“Nova,” “the Service”), you agree to these Terms of Service. Nova is operated by Nova Companion LLC, a Pennsylvania limited liability company. If you do not agree, do not use the Service.

2. Eligibility

By using Nova you represent and warrant that you are 18 years of age or older. Nova is an adult product. We do not knowingly collect personal information from anyone under 18. If we learn that an account holder is under 18, we will close the account and delete the associated data promptly. If you are a parent or guardian who believes a minor has created a Nova account, please contact us at colin@novasystems.app.

If you create an account on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Your Account

You are responsible for maintaining the security of your account credentials. Nova uses Supabase authentication with PKCE flow. You agree to notify us immediately of any unauthorized access to your account.

4. The Service

Nova is an AI companion that helps you organize ideas, track projects, build routines, and access AI-powered chat and research. Nova remembers context from your conversations to provide a personalized experience. Nova is not a substitute for professional medical, legal, financial, or mental health advice.

5. Subscription & Billing

Nova offers a free tier (Drift) with daily usage limits and a paid tier (Anchor) at $19.99/month. Subscriptions are billed monthly through Stripe. You may cancel at any time through your Companion Profile. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months.

6. Your Content

You retain ownership of all content you provide to Nova, including messages, projects, dreams, routines, and documents. By using the Service, you grant Nova Companion LLC a limited license to process your content solely to provide and improve the Service. We do not sell your content. Your content is sent to AI providers (Anthropic, OpenAI) via Vercel AI Gateway solely to generate responses — both providers commit to not training on API inputs per their respective API terms of service.

7. AI-Generated Content

Nova uses third-party AI providers (Anthropic, OpenAI) to generate responses. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying any AI-generated content before relying on it. Nova Companion LLC is not liable for decisions made based on AI-generated content.

8. User-Uploaded Content & Right of Publicity

Nova allows you to upload photos and other media so your companion can see, remember, and reason about them with you (for example, the photo-memory dropzone on the Memory tab, image attachments in chat, and files in the Companion file workspace).

Your attestation. By uploading any photo or media to Nova, you represent and warrant that:

  • You own the photo or media, or you have permission to upload it; and
  • You have the consent of every identifiable individual depicted in the photo or media to upload their image to Nova; or
  • You are otherwise legally permitted to share the photo or media with Nova (for example, photos in the public domain, photos for which fair use applies, or photos of yourself).

No verification duty. Nova does not verify your right to upload any photo or media, and Nova has no duty to do so. You are solely responsible for the photos and media you upload.

Removal on credible claim. Nova reserves the right, but is not obligated, to remove user-uploaded content on receipt of a credible claim of right-of-publicity or privacy violation, defamation, or other unlawful content. We will use reasonable efforts to notify you if we remove content you have uploaded, except where doing so would prejudice an investigation or violate a legal obligation.

Indemnity for uploads. You agree to indemnify and hold Nova Companion LLC harmless from any third-party claim arising from photos or media you upload that you did not have the right to upload, including claims for right-of-publicity violation, invasion of privacy, defamation, copyright infringement, or trademark infringement.

9. Acceptable Use

You agree not to:

  • Use Nova to generate harmful, illegal, or abusive content
  • Attempt to reverse-engineer, scrape, or exploit the Service
  • Circumvent rate limits or usage restrictions
  • Impersonate another person or misrepresent your identity
  • Use Nova for automated bulk operations without authorization

10. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time from your Companion Profile. Account deletion is permanent and cascades across all stored data, including messages, projects, memories, documents, and linked integrations.

11. DMCA / Copyright Policy

Nova Companion LLC respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.

Designated copyright agent. If you believe content available through Nova infringes your copyright, please send a written notice to our DMCA Designated Agent:

Nova Companion LLC is registered with the U.S. Copyright Office DMCA Designated Agent directory ([U.S. Copyright Office DMCA Designated Agent — registration in progress]). You can search the directory at copyright.gov/dmca-directory.

What a takedown notice must contain. To be effective under 17 U.S.C. § 512(c)(3)(A), a copyright infringement notice must include:

  • A physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf;
  • Identification of the copyrighted work claimed to have been infringed (or, if multiple works, a representative list);
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity, with information reasonably sufficient to permit Nova to locate the material (a URL or in-app location);
  • Information reasonably sufficient to permit Nova to contact the complaining party (mailing address, telephone number, and an email address if available);
  • A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information in the notice is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Notices that do not substantially comply with § 512(c)(3) may be ineffective.

Counter-notification.If you believe content of yours that was removed (or to which access was disabled) is not infringing, or that you have authorization from the copyright owner, the owner’s agent, or the law, you may submit a counter-notification under 17 U.S.C. § 512(g)(3) containing:

  • Your physical or electronic signature;
  • Identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or disabled;
  • A statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;
  • Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, for any judicial district in which Nova Companion LLC may be found), and that you will accept service of process from the person who provided the original notification or that person’s agent.

On receipt of a valid counter-notification, Nova may restore the removed material in not less than 10, nor more than 14, business days following receipt — unless the original complainant first notifies us that they have filed an action seeking a court order to restrain the alleged infringer.

Repeat-infringer policy. In accordance with 17 U.S.C. § 512(i)(1)(A), Nova has adopted and reasonably implements a policy of terminating, in appropriate circumstances, accounts of users who are repeat copyright infringers. Whether a user is a repeat infringer is determined by Nova in its reasonable discretion based on factors including the number, nature, and severity of validly filed and substantiated DMCA notices.

Caution — misrepresentation.Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or that material was removed by mistake or misidentification, may be liable for damages, including costs and attorneys’ fees. File notices and counter-notices in good faith.

12. Interactive Computer Service Status & User Content

Nova is an “interactive computer service” within the meaning of 47 U.S.C. § 230(f)(2). Content that you and other users provide to Nova — messages, photos, projects, dreams, journal entries, uploaded files, and any other material you submit — is “information provided by another information content provider” under § 230(c)(1).

Under 47 U.S.C. § 230(c)(1), Nova Companion LLC is not the publisher or speaker of any user-provided content. We are not legally responsible for content you or other users submit, and we are not legally responsible for the actions you take in reliance on AI-generated responses (see Section 7).

Good-faith moderation. Under 47 U.S.C. § 230(c)(2), Nova reserves the right (but is not obligated) to restrict access to or remove material that we, in our sole and good-faith discretion, consider obscene, lewd, lascivious, filthy, excessively violent, harassing, promoting self-harm, sexually exploitative of minors, or otherwise objectionable, whether or not such material is constitutionally protected. Exercising this right does not waive the protections of § 230(c)(1).

AI-generated content.Section 230(c)(1) immunity does not apply to content authored by Nova’s AI providers when Nova is the information content provider of that output. We address AI-generated content under Section 7 above and the Privacy Policy’s AI System Disclosure section.

13. Founding Members & Endorsement Disclosure

Nova maintains a small founding-member program. Founding members are users who joined Nova in its earliest stage and may receive material consideration in exchange for their participation, including (without limitation): free or discounted Anchor access, early access to new features, or recognition in the product or marketing materials.

If a founding member’s name, likeness, or testimonial appears anywhere in Nova’s marketing materials, on Nova’s website, or in the product itself, that appearance reflects the founding member’s honest experience with Nova. Their material connection to Nova Companion LLC is disclosed here in accordance with the Federal Trade Commission’s Endorsement Guides, 16 C.F.R. Part 255, specifically § 255.5 (Disclosure of Material Connections).

For founding members:if you choose to share your Nova experience publicly — on social media, in a podcast, in writing, or anywhere else — please disclose your founding-member status. The simplest disclosure is a sentence such as “I’m a Nova founding member and receive free Pro access.”

For all users:testimonials and endorsements that appear in Nova’s materials reflect the experiences of the individuals who provided them. Your experience may differ.

14. Limitation of Liability

Nova is provided “as is” without warranties of any kind. Nova Companion LLC’s total liability is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

15. Changes

We may update these Terms from time to time. Material changes will be communicated via the app or email. Continued use after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States.
